Below are definitions of terms:

These Terms of Use
Our Company: BOCSTE, Ltd.
This Avatar: Avatar "Habi." A 3D model used specifically in VRChat. Applies to both the free and paid versions.
This character...not limited to a 3D model, but the concept of a person with the name, design, and settings of "Habi."
User...the person who uses this avatar/character.

Main data...the complete set of data included in this avatar's Unity package.
Differential data...the remaining data for this avatar, excluding the avatar itself.

Webshop...sites where data can be purchased for download, such as Booth.
Screenshots, etc....images and videos of the avatar's appearance in Unity or VRChat.
SNS, etc....SNS such as X, bluesky, Facebook, Line, Discord, Note, (micro)blogs, and calling apps.
Video sites...Niconico Douga, YouTube, etc.
Illustration sites...pixiv, etc.

Distribution...Free distribution and paid sales
Redistribution...Distribution including the data itself

Individual...Individuals who are not companies or legal entities (including sole proprietors)
Corporation...Companies, corporations, local governments, and organizations
Commercial...Use by legal entities, whether free or paid

Fan Creations...Illustrations, manga, novels, homemade plush toys, music, etc., based on the characters
Generative AI...Technology for generating illustrations, images, videos, animations, and 3D models using AI, as well as AI-generated works

Article 2 (Scope of Application)
These Terms of Use are binding agreements between the Company and users and are binding on the User. They apply to the following:

Use of the Avatar/Character
Publication of screenshots
Modification of the Avatar
Distribution of derivative data
Fan-made works based on the Character

Article 3 (License Grant)
We grant the following rights to users who download the avatar data.

Upload this avatar to VRChat and use it as your own avatar.
Make minor customizations to this avatar, such as adding or removing accessories or changing hair color.
Make major modifications to this avatar, including mesh transformations and texture rewrites.
Distribute derivative works derived from modifications made to this avatar, excluding the data itself.
Adjust costumes and accessories designed for VRChat to suit this avatar.
Upload screenshots of this avatar to social media, etc.
Use screenshots of this avatar as samples in your online shop.
Feature this avatar in videos you create.

[Conditional License Granted to Individuals]

Print this avatar data using a 3D printer or create a three-dimensional object (for home use only; distribution prohibited).
Stream this avatar from within VRChat (requires permission from other VRChat users).
Personally use this avatar in formats other than VRChat, such as waidayo or MMD (permitted for personal use only; distribution prohibited).
Voicing this avatar with synthetic voice (please be sure to follow the synthetic voice terms. Some regulations prohibit voicing other characters. Even if voicing is permitted, in many cases, the name of the synthetic voice software and the name of the synthetic voice character must be clearly stated.)
An individual sponsored by a company promoting the company's logo, products, or services (a so-called "project," in which the company Anything that falls under Article 8 (Exclusion of Anti-Social Forces) is prohibited.

Using screenshots as a rough draft or case study, such as in internal documents, slides during planning and development, or design orders, at a time when they will not be reflected in the final product.

[Exceptional Cases in Which a Corporation is Licensed as a Personal User]

Creating, distributing, and selling VRChat items specifically for or compatible with this avatar
Distributing and selling derivative works derived from modifications to this avatar, excluding the data itself
If you are running an apparel brand for avatars under a corporate name, adjusting costumes for this avatar or creating new costumes, and distributing and selling the derivative works excluding the data itself

[Commercial License]
This avatar is a one-time purchase, and there are no additional usage fees. There is also no commercial license registration number.
However, please do not use it for product development without permission. Please read Article 10 (Commercial Use) and contact us.

Article 4 (Prohibitions)
This avatar was created with a VRM armature (a collection of bones) for use in VRChat. Therefore, in addition to these Terms of Use, you must also comply with the prohibitions in the VRChat Terms of Use (https://hello.vrchat.com/legal) and the VRM Public License (https://vrm.dev/licenses/1.0/).
The following are prohibited acts regarding the use of this avatar.

Redistribution (Distribution without modification or with the game data that can be run on its own is prohibited, even for free)
Copying and Transferring (Giving a copy of the game data to friends or family is prohibited / Having them download it from Booth, even as a gift)
Transferring or Sublending the License (The license is valid only for the user / Transferring to others is prohibited)
Adult Sexual Content (Swimsuits and other light clothing are permitted, but explicit sexual content and exposure are prohibited)
Adult Violence (Fantasy magic and mild, comical violence are permitted / Gore, cruelty, and bloodshed are prohibited)

Use for Antisocial or Criminal Activities

Political/election use (supporting or trying to defeat a specific political party or politician, political activities, political statements, or candidate posters are prohibited.)
Religious use (use related to specific religions or emerging religions is prohibited.)
*However, participation in VR events such as New Year's shrine visits, Obon, and Christmas, which have become commonplace, and the use of costumes and accessories featuring nuns, priests, shrine maidens, Shinto priests, Buddhist robes, rosary beads, and crosses are permitted.
Use of the Red Cross symbol
Use of Nazi praise or the swastika
Defamation, libel, and other human rights violations (threat, harassment, obscenity, humiliation, and hate speech and distribution of content are prohibited by the VRChat Community Guidelines.)
Infringement of intellectual property rights, copyrights, and portrait rights
Use in connection with non-fungible tokens (NFTs) and cryptocurrencies

Article 5 (Disclaimer of Liability)
Even if any disadvantage arises to the user as a result of using or modifying this avatar, we shall not be held responsible in any way, except in cases of gross negligence attributable to our company.

Article 6 (Returns and Refunds)
This avatar is available for download from the online shop "BOOTH."
BOOTH does not offer returns or refunds for downloaded products.
As such, returns or refunds are not possible even if you "accidentally purchased the product despite it not being compatible with your operating system" or "the image differs from the sample image."

We strongly recommend that you first check the operation with the free version.

Article 7 (Price)
This avatar is available in two versions: a free version and a paid version. The price of the paid version is 5,000 JPY (tax included). Since it is a downloadable product, users do not need to pay shipping fees.

The free version is distributed for the purpose of verifying whether the avatar can be uploaded and functions normally in the user's environment, and its functionality is significantly limited.
For details, please see "Differences between the free and paid versions".
The overseas price of the paid version is subject to change according to exchange rates.

The paid version is offered at a fixed price, and temporary discount sales may be held.
Permanent price adjustments may also occur.

Possible reasons for a price increase include when the tools or platforms used to create and distribute this avatar, which were free or available at a low cost, become paid, or when webshop fees increase, making it impossible to maintain the previous price.

If there is a price adjustment, we will endeavor to notify you on this website, the webshop, etc.

Article 8 (Exclusion of Anti-Social Forces)

"Anti-social forces" refers to organized crime groups, semi-criminal groups, terrorists, anonymous mobile criminal groups, illegal part-time workers, corporate racketeers, land speculators, and other groups that engage in violence, intimidation, fraud, or other criminal activities.
"Members" refers to official members and associate members of anti-social forces, as well as individuals who have ceased to be members within the last five years.
"Substantial controllers" refers to those who effectively control the business operations of a corporation, even if the registered parent company of the corporation does not fall under Paragraph 1, and even if the registered officers do not fall under Paragraph 2.
Corporations governed by paragraphs 1, 2, and 3 are prohibited from using the avatar or character.
If a user violates paragraph 4, the Company will immediately terminate the agreement without notice or warning, and will not provide any compensation for any damages incurred.

Article 9 (Termination of Agreement)
These Terms of Use shall take effect from the time the user downloads the Avatar, and no expiration date has been set.
Even if the distribution and provision of the Avatar is terminated for our convenience or other reasons, users who have already downloaded the Avatar will be able to continue to use the Avatar and Character, and these Terms of Use will continue to apply to them.
However, in the following cases, the agreement for the Avatar will immediately become invalid in whole or in part.

When a user violates Article 8 (Exclusion of Anti-Social Forces)
When external services, tools, or platforms, such as VRChat, Steam, or VRM format, that are prerequisites for use, cease operation, making it impossible to use the avatar for its intended purpose.
When the provision of external shader or tracking packages is discontinued and no alternative means are available (the unusable portions are invalid).
When not only are new provision of the avatar discontinued, but its use is also prohibited.
When use is prohibited due to security risks and the risk cannot be avoided.
When our company is dissolved and no one takes over management.
When it becomes impossible to manage or use the avatar due to war, conflict, disaster, or other force majeure.

Article 10 (Derivative Creations)
These are guidelines for derivative works of this character. As defined in Article 1, derivative works refer to fan art such as illustrations, manga, novels, homemade stuffed animals, and music that use this character as a motif.

Only "individual" creators are permitted, and the following describes whether or not such works are permitted.
*"AI generation not permitted" means that only works drawn, written, or created by individuals are permitted.

Publishing for free online on social media, video sites, illustration sites, etc.: Yes
(If you use AI-generated content, please clearly indicate this. Do not post on platforms that prohibit AI-generated content.)
Distributing at offline or online sales events, whether for free or for a fee: Yes (AI-generated content is not permitted)
Selling merchandise or objects you create for a fee, enough to cover production and overhead costs and generate a small profit when they sell out: Yes (AI-generated content is not permitted)
Drawing the character on a request site like Skeb and receiving payment: Yes (AI-generated content is not permitted)

Cosplaying the character: Yes (R18 live-action video content is prohibited)
Using AI to create an image of someone cosplaying the character or a live-action version of the character: Yes (Indicate that AI-generated content is being used)
Using a generator AI to create an illustration of this character in the style of an existing IP (Ghibli, Pokémon, etc.) is not permitted.

Earning revenue from advertising, creator incentives, Super Chats, etc. from videos and streams using this character or this avatar is permitted (generator AI is not permitted).
Making and selling merchandise or 3D objects (acrylic stands or key chains) using illustrations of this character via services such as pixivFactory is permitted (generator AI is not permitted).
Publishing as an online print service is permitted (generator AI is not permitted).
Distributing merchandise or 3D objects created using screenshots or 3D data of this avatar for free or for a fee is prohibited (personal home use only is permitted).

Making screenshots of this avatar into stickers and attaching them to musical instruments for live performances is permitted (mass-produced stickers and merchandise sales are prohibited).
Customizing the appearance of this character in a character creation game is permitted.
Incorporating this avatar into a game you create, or distributing it as a model replacement mod for an existing game, allowing an unspecified number of people to play　×

The following describes the possible expressions regarding this character excluding the avatar data as a 3D model.

[Common Conditions]

When publishing or uploading, please follow the terms and conditions of the platform, social media, video site, illustration site, printing company, doujinshi event, etc.
On social media, please mark even non-adult, NSFW (not suitable for work) content with a "sensitive" or "NSFW" flag (especially if other female characters appear).
Even if we approve your derivative work of this character, it may be deleted or your account may be frozen in accordance with the terms and conditions in Article 1 or the guidelines of your credit card processing company.

When distributing costumes and accessories for this avatar, or texture change data for this avatar, they will be treated as individuals, even if the creator and seller is a corporation.

Article 12 (Governing Law)
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. This Agreement shall be written in Japanese. Even if there is a discrepancy between the content and a translation into another language, the Japanese version shall prevail.

Article 13 (Exclusive Jurisdiction)
Any dispute arising from these Terms and Conditions shall be resolved primarily through mutual consultation*.
*This may be by email, written communication, or other means.
If the dispute still cannot be resolved, the Aomori District Court shall be the exclusive court of first instance.
